Terms and Conditions

1. Definitions

Terms used in these Conditions have the following meanings unless the context clearly indicates otherwise:

• Account – means a user account registered on the Website;
• Authorization – means access to the user's personal account and includes any action defined in Article 5 of these Terms;
• Terms of Use – these Terms together with any other rules or conditions referenced herein, which regulate access to and use of the platform, including any content, functionality, and services offered on the Website;
• Website – means the website Yves-Rocher.ge through which services and/or products are offered;
• User (Buyer) – a legal or natural person who meets the requirements of these Terms and wishes to purchase the company's products through the Website and is registered on the Website;
• Parties – means Yves Rocher and its Users;
• Yves Rocher Platform – the platform operated by Yves Rocher, including the Website as well as any other channels available to Yves Rocher;
• Operation – any action performed by the user regarding their personal account and/or services;
• Universal Identifiers – the set of data provided by Yves-Rocher.ge to the user, enabling registration in the identification system and use of various remote services;
• Access Codes – codes, passwords, usernames, identification numbers, universal identifiers, and/or other types of confidential information that Yves-Rocher.ge may provide to the user to access services;
• Agreement – the contract concluded between users and Yves-Rocher.ge, which includes these Terms and their annexes, if any.

Words in the singular include the plural and vice versa where the context permits.

2. Declarations and Warranties

By agreeing to these Terms and Conditions, the user confirms that:

• The user is a legal entity established under Georgian law or a natural person (18 years or older) and is not a citizen or resident of an EU member state;
• They have full legal capacity, are not under the influence of narcotic, alcohol, psychotropic, or toxic substances, are not under mistake, fraud, coercion, threat, or any unlawful influence, and are not a victim of violence, threat, deception, or similar prohibited action from Yves-Rocher.ge or third parties. They fully understand the content of their declaration of will, the meaning of the Terms, and their legal consequences;
• They have full authority (or will obtain such authority) to sign and fulfill obligations under these Terms or any other agreements or applications;
• They have read and accept the Terms;
• All data provided by them is accurate;
• They are not involved in any illegal activity under the laws of any jurisdiction (including Georgia and the user's home country), including money laundering, arms trafficking, terrorism, or any other illegal activity;
• At the opening of the personal account and throughout the duration of the Agreement, their activities comply with local and international legislation;
• Their actions are not intended to deceive Yves-Rocher.ge or any third party. Documents and information submitted for concluding or executing the Agreement are and will remain accurate, truthful, and complete;
• They will fulfill their obligations under these Terms in good faith, fully and properly;
• They agree that after opening a personal account, until termination of the Agreement, Yves-Rocher.ge may obtain, verify, and process any personal information or universal identifiers related to them;
• The user will immediately notify Yves-Rocher.ge in writing of any circumstances that may contradict these declarations or cause a breach of these warranties;
• Yves-Rocher.ge enters into the Agreement relying on these declarations, warranties, and obligations. Therefore, any breach of them is sufficient grounds for Yves Rocher to unilaterally refuse to provide any service under the Agreement;
• When the user and Yves Rocher reach agreement through the platform, a sales agreement ("Purchase Agreement") is concluded, the terms of which include these Terms;
• The user acknowledges and confirms that: The Website's design, software, source code, and other materials are protected by copyright and other intellectual property rights. They will not use any software equipped with artificial intelligence in relation to the services.

3. Opening and Using a User Account

Rules for using Yves Rocher's services:

• The user registers on Yves-Rocher.ge to use Yves Rocher's services;
• For registration, the user provides their first name, last name, email address, and password. The password is not stored in plain text but hashed and inaccessible to anyone except the owner/user;
• To complete registration, the user must check the box agreeing to the Privacy Policy and the Terms of Service;
• After registration, the user selects products on the Website and adds them to the shopping cart;
• To complete the purchase, the user provides additional information: personal number, mobile number, address, selects delivery and payment methods, and finalizes the purchase;
• For questions, the user may contact support at onlineshop@Yves-Rocher.ge.

The user must keep access codes safe and never disclose them to third parties. The user is fully responsible for any action performed through their account. If any person accesses the account on behalf of the user, such person is presumed authorized. Yves Rocher is not liable for damages caused by third-party access. The user must change their password and contact customer support immediately if they suspect unauthorized access. Failure to comply may endanger account security and cause liability for damages. By opening an account, the user declares they are not violating any law. The user must protect Yves-Rocher.ge's interests and compensate any damages caused by breaching this requirement. The user must ensure the accuracy of account information and keep it updated. Yves-Rocher.ge is not liable for damages caused by outdated or inaccurate information. Yves-Rocher.ge may request verification or documentation at any time.

4. Universal Identifiers in the Identification System

• Username – unique identifier required for remote services and authorization, automatically determined by the centralized identification system;
• Password – one of the parameters required for authorization to receive centralized remote services, determined by the user during registration in the centralized identification system, through channels selected by Yves-Rocher.ge. The password is subject to subsequent update/change at the user's discretion;
• Mobile phone number – the phone number on which the user receives one-time access codes and one-time passwords (if applicable) required for operations defined by centralized remote services;
• User's personal number / identification number;
• User's email address – the email address on which the user receives access codes and passwords (if applicable) required for operations defined by centralized remote services. The user may be required to use simple (username and password) or complex (username, password, and one-time code) authorization methods. The authorization method is also registered in the centralized identification system for each relevant remote service channel/service;
• For service improvement and/or security purposes, Yves Rocher may define additional or different user identifiers.

5. Authorization

After registration and verification, the user authorizes to access the Website. Authorization is performed using universal identifiers.

6. Product Selection, Ordering, Purchase, Delivery & Transaction Cancellation

The authorized user navigates to the main page through the Website, from which they can access various information through navigation buttons. Through navigation buttons, the user selects the desired product category, after which they can filter data by desired price category, product characteristics, and/or other offered data. The user selects and places the desired product in their cart by clicking the "Confirm" button. After placing the product in the cart, the user is redirected to the checkout page, where various service fees may be added to the product value (if applicable).

• The user will receive products purchased through the Yves-Rocher.ge platform according to predetermined delivery service rules. Delivery times: Express delivery – 2 hours; Standard delivery in Tbilisi – 1-7 business days; Regions – 3-7 business days;
• The user has the right to exercise the right of return of purchased items in accordance with the attached Return Policy;
• An item selected by the user through the Yves-Rocher.ge platform is considered purchased and ownership of the item is transferred to the user after the user completes payment and the item is delivered by the company to the user or a person designated by the user, at the delivery location specified by the user;
• The company is entitled to unilaterally cancel a transaction performed by the user at its discretion;
• If the company cancels a transaction performed by the user, the company is obliged to return to the user, on the same account and in the same amount, the amount that the user paid before the company canceled the transaction. Refunds are processed within 3 business days;
• Opened and/or used products are not returned;
• The user makes payment to Yves-Rocher.ge using the following payment methods: VISA or MASTERCARD card through payment on the Yves-Rocher.ge website.

7. Closing and Restricting Account Usage

Yves-Rocher.ge is entitled to unilaterally suspend or restrict the user's right to use the platform, by means of a message sent to the electronic mail, if it considers that the requirements of these Terms and Conditions have been violated. In such case, account closure or usage restriction occurs from the moment of delivery of the message defined by this article. If Yves Rocher closes the account or restricts its use for a specified reason, the user is not entitled to create a new account in their own or another's name. The user is entitled to stop using the Yves-Rocher.ge platform at any time, which does not result in termination of the confidentiality obligation provided for in this agreement.

8. Warranties

Yves Rocher declares and guarantees that it holds all licenses, permits, certificates, liability insurance (if applicable), and other documentation required by applicable legislation for the sale of specific products; will comply with norms corresponding to applicable legislation and professional ethics in the sale of products; products comply with safety and fitness standards defined by Georgian legislation.

10. Limitation of Liability

By registering on the Website, you agree that you are free to choose whether to use Yves Rocher's website and services, and you do so at your discretion, discretion, and risk. Yves Rocher provides you with access to the Website and provision of services/product sales/delivery in accordance with these Terms and Conditions. Yves Rocher does not provide any other promises and guarantees regarding services/products or anything related to any product or service that constitutes part of the service, accordingly, (within the limits established by law) Yves Rocher's liability in connection with the above is excluded (including, implied warranties, satisfactory quality and/or compliance with your purposes) in particular, we do not guarantee that the Website and/or services/products will always be available or will not have software errors, viruses, or other errors.

• Yves Rocher is not liable to you or any person, contractually, negligently, delictually, or otherwise, for any loss and damage that arose, or is in any way related to, your or any third party's use of the services, directly or indirectly, including, without limitation, damage for loss of business, loss of profit (including loss of expected profit or non-receipt) cessation of business activities, or other financial or material/physical loss;
• Yves Rocher is not liable to you or any person, contractually, negligently, delictually, or otherwise, for loss and damage that arose, or is in any way related to, your use of any link on the site. Yves Rocher is not responsible for the content of the Internet website link to which you are redirected from the Website or its services;
• You confirm that Yves Rocher will not be liable to you or a third party in case of any changes, restrictions, or termination of access to the Website;
• You agree that in the event that Yves Rocher's website does not work properly, interruption or cessation of operation, transaction, or transmission, loss or damage of data or contact or lines, illegal use of the site or its components by third parties, or any circumstances beyond our control: a) Yves Rocher is not liable for any loss, including loss of profit, caused by the above, and such loss is not compensated; b) If any such error causes an increase in your profit or profit/income payable to you, you do not have the right to receive such profit/income. You must immediately notify Yves Rocher of such error and return to Yves Rocher all kinds of profit/income credited to your account as a result of such error (as instructed by Yves Rocher) or Yves Rocher may, at its discretion, deduct the amount of such profit from your account.

11. Yves Rocher's Responsibility

Yves Rocher is responsible for:

• The accuracy and timeliness of operations on the personal account in accordance with the rules defined by these Terms and applicable legislation;
• Confidentiality of information about operations performed on the personal account, except for cases provided for by legislation;
• Product quality.

Yves Rocher is not responsible for: direct or indirect damage due to cancellation of a transaction performed by the user for any reason. Breach of obligations defined by these Terms leads to liability provided for by these Terms and applicable Georgian legislation; the parties undertake to compensate each other for damage (loss) caused as a result of full or partial non-fulfillment or improper fulfillment of the Terms, in the manner established by legislation and/or the Terms.

12. Duration and Termination of Agreement

These Terms and Conditions remain in force after coming into effect until the user's registration is canceled. Payment of the product price in full and properly by the user to Yves Rocher when purchasing a product under these Terms constitutes fulfillment of their monetary obligation. Fulfillment of the monetary obligation does not result in termination of these Terms and Conditions.

13. Governing Law and Dispute Resolution

These Terms are regulated and interpreted in accordance with Georgian legislation. The place of performance of obligations under the Terms and Agreement by the parties is considered to be Georgia. Any dispute or disagreement related to these Terms or its interpretation is resolved through negotiations between the parties. If the parties do not reach an agreement through negotiations within 30 (thirty) calendar days, they unconditionally agree to, if desired, resort to other means of dispute resolution granted to them by Georgian legislation.

14. Amendments to These Terms

These Terms may be subject to changes. Changes will be made by Yves Rocher without prior notice to the user, however, in case of making essential changes to the Terms, the user must again declare their consent to them in order to continue receiving services without interruption. Upon each essential change to the Terms, the user will have the opportunity to declare consent when using Yves-Rocher.ge through any channel.

15. Entire Agreement

These Terms and Conditions, together with other related agreements, constitute a single and complete agreement regarding the Website and/or services and replace all prior and parallel communications, perceptions, as well as written or oral statements and guarantees related to the Website and/or services.

16. Privacy Policy

Please carefully read the Privacy Policy. By logging in and using our Website - Yves-Rocher.ge - you confirm that you have read and agree to the information protection policy and all conditions for using our Website. The Privacy Policy concerns the protection mechanisms existing at Yves-Rocher.ge related to unauthorized access to personal data, through which Yves-Rocher.ge ensures the protection of your personal data.

17. Rules for Receiving Purchased Items

The user will receive products purchased through the Yves-Rocher.ge platform according to predetermined delivery service rules.

• The recipient/delivery person of the purchased product may be: a) the purchaser (user) personally; b) any other person designated by the user;
• If the user does not receive the purchased product personally and wishes for another person to receive it on their behalf, in such case, they must provide Yves Rocher with the recipient's personal data, namely, first name, last name, personal number, and address, so that Yves Rocher can properly identify the recipient and deliver the product;
• The rule described in the previous paragraph applies only to products purchased with non-cash payment (by card);
• In case of purchase of a product by the user with cash payment, delivery of the purchased product by Yves Rocher is made only to the user or an adult person designated by the user, taking into account these Terms;
• In case of purchase of a product by the user by installment, delivery of the purchased product by Yves Rocher is made only to the user;
• Yves Rocher reserves the right to cancel an order made by the user at any time.

18. Return/Exchange Policy

Please carefully read Yves Rocher's Return/Exchange Policy. By logging in and using our Website - Yves-Rocher.ge - you confirm that you have read and agree to the Return/Exchange Policy and all conditions for using our Website. The Return/Exchange Policy concerns the rules and conditions for returning or exchanging purchased items in case you wish to return or exchange an item purchased by you.

19. Final Provisions

The headings indicated in these Terms are used only for convenience and do not affect the interpretation of the Terms. Upon request, the user is obliged to provide Yves Rocher with any additional information and also present appropriate supporting documents that Yves Rocher requires or are defined by Georgian legislation. If any point or part of these Terms is canceled, declared void, or terminated for any reason, such point or its part will no longer be used, which does not affect the validity of the remaining points of the Terms. Yves Rocher has the right to unilaterally make changes to the text of these Terms and notify the user about this through Yves Rocher's information means, including the Website, any other channel available to Yves Rocher, and/or electronic mail. The user, without written consent from Yves Rocher, is not entitled to transfer rights and claims arising from these Terms or transfer obligations to another person. The place of performance of these Terms by agreement of the parties is considered to be Yves Rocher's legal address. In cases that are not provided for by the Terms, the parties are guided by the regulatory norms of the relevant relationship established by legislation and/or additionally agreed conditions.
